Werner Enterprises (WERN)
Werner Enterprises (WERN)
US asset-based truckload carrier (Truckload Transportation Services + Logistics), acquirer of FirstFleet. Named as a candidate ticker on driver-supply-removal-to-truckload-contract-rate-inflection since that chain graduated on 2026-08-13, and ranked #5 in the 2026-08-14 conviction shortlist as the chain's only genuinely discounted leg. Became a cited source on 2026-08-17 when its Q2 FY2026 call was pulled ad-hoc.
Valuation (August 26, 2026)
Last: $38.89 at the Aug 26, 2026 4:00 PM EDT close. From 2026-08-27-valuation-marks-sndr-wern-aug-27-close-plus-sndr-q2-print. This clip's retrieved 27 Aug close was $38.53 — not the vault last. From 2026-08-28-trucking-rate-and-capacity-prints-into-the-oct-28-wern-call.
Gage's judgment (as of 2026-08-27)
Gage last: $38.55 (Thursday NightDesk; not the vault last-price). 12–18 months. Upside: about 25% ($49) if leftover non-compliant capacity keeps leaving into early 2027 and One-Way rate gains stick (Q3 guide +10–13% RPM) so that 3% operating margin has room to expand. Downside: about 25% ($29) if freight demand rolls over, the rules ease, or thin margins stay thin. What would change it: administration backs off ELP/CDL/cabotage/ELD enforcement; One-Way RPM guide is cut; logistics keeps bleeding; they start adding trucks instead of replacing them. Gage's judgment, not issuer fact. From 2026-08-27-gage-judgment-on-sndr-and-wern-12-18-months.
Next earnings (labeled listed vs company-confirmed)

Checkpoints (prints into the listed Q3 call)
From 2026-08-28-trucking-rate-and-capacity-prints-into-the-oct-28-wern-call. Dated prints / confirm / break / old-world. Laguna 15 Sep is color, not a rate print. DAT next monthly undated — not invented. ATA Aug/Sep dates are MTS calendar only, not trucking.org.
Dated prints (28 Aug → working listed call):
- Cass August 2026 index — Mon 14 Sep 2026 (Cass 13th rule; 13 Sep is Sunday → next business day; MTS agrees).
- ATA August tonnage — Tue 22 Sep 2026 (MTS calendar only; ATA last-release does not date the next one).
- Cass September 2026 index — Tue 13 Oct 2026 (Cass 13th rule + MTS). Watch: ATA September tonnage 20 Oct 2026 (MTS). DAT next monthly undated. No carrier pre-announces.
Confirm: Cass linehaul stays +y/y in Aug and Sep; volume-down / rate-up signature holds; ATA can stay choppy if rates keep rising.
Break: Cass linehaul negative m/m Aug and Sep or y/y fades hard; capacity re-enters (Class 8 above replacement / Cass note flips); ATA Aug+Sep sequential decline and worse y/y.
Old-world: price has left the trough; Hold / ~11% WERN target / 22× forward on thin margins still looks like freight-recession consensus. No paper ticket. No buy/sell/size.
What it tells us
- Corroborates the driver-side attrition from a second carrier. CEO derek-leathers: "The structural capacity attrition we've been talking about for several quarters is playing out as predicted", and — the disinterested-sounding version of the claim — "Long-haul truckload employment has dropped to below pre-COVID levels." Capacity removal attributed to CDL school closures, ELD provider exits, and cabotage enforcement. (From 2026-07-28-earnings-wern-q2-fy2026)
- Q2 transcript — "third inning-ish," not a FreightWaves paraphrase. Prepared remarks: "carrier exits are still in the early innings." Closing: "in the early stages." Q&A derek-leathers to Eric Morgan (Barclays): "I think third inning-ish right now is where we're at. There's still going to be significantly more capacity removed from the road between now and the end of the year. Frankly, it'll probably take into the early parts of next year." From 2026-08-27-valuation-marks-sndr-wern-aug-27-close-plus-sndr-q2-print (stockanalysis WERN Q2 transcript).
- Rate realization is real, and the 08-17 "weaker than Schneider" read was a mix error. Dedicated: "low to mid-single-digit increases in contract renewals for both our legacy Dedicated fleet and the FirstFleet business"; Dedicated RPT guidance raised to +3–5% from flat-to-+3%. One-Way: "upper single to double-digit contractual increases in One-Way bids"; Q2 One-Way RPM +10.4%, Q3 guide +10–13%. That is the same product Schneider printed double-digit on. (From 2026-07-28-earnings-wern-q2-fy2026; mix correction in 2026-08-18-autoresearch-wern-sndr-contract-renewal-segment-mix.)
- No full-year EPS guide printed. Dedicated RPT/week FY guide raised to +3–5% from flat-to-+3%; One-Way RPM Q3 guide +10–13% (Q2 was +10.4%) — already on this page from the Q2 extract; restated here as guide-shape only. From 2026-08-27-valuation-marks-sndr-wern-aug-27-close-plus-sndr-q2-print.
- The equipment signal that matters most, and it is ambiguous. Full-year average fleet-growth guidance cut to 16–18% from 23–28% while net capex was raised to $215–250M from $185–225M. CFO chris-wikoff attributes the capex to fleet age — targeting average truck age "closer to mid-2s by the end of the year" — while staying "free cash flow positive for the full year" at "upper single digits" of revenue. Replacement, not expansion. (From 2026-07-28-earnings-wern-q2-fy2026.) Leathers to Scott Group, same call: "That CapEx increase is predominantly replacement with a little bit of what I would call fringe pre-buy." From 2026-08-27-valuation-marks-sndr-wern-aug-27-close-plus-sndr-q2-print.
- Management confirms an EPA pre-buy is in the mix. Asked directly by Scott Group (Wolfe Research) to reconcile the lower fleet guide with the higher capex guide and the pre-buy, derek-leathers described the EPA change as "more relief than a delay… relief from the new engine as it relates to the non-compliance penalties," adding that "the longer we can exist with known technologies at known pricing and freshen our fleet a little bit along the way…" This is the confound that driver-not-equipment-scarcity-to-class-8-oem-derate required be ruled out — it is not ruled out; it is confirmed present. (From 2026-07-28-earnings-wern-q2-fy2026)
- Leaning into owner-operators: "It is something that we're leaning into more closely...We think there's some very high quality owner-operators out there." A capacity source that needs no company tractor — relevant to driver-constrained-replacement-cycle-to-truck-dealer-aftermarket-capture. (Same source)
- This week (DB Chicago Industrials): derek-leathers called the recovery supply-led and still early, unfazed by July seasonal softness: "There's no concern … about some of these little snippets of news that we've seen in July." Administration "not backing off its crackdown on bad actors." Q3 One-Way RPM guide still +10–13%. Color, not a new number. (From 2026-08-19-autoresearch-cass-july-2026-truckload-linehaul-driver-supply.)
- 2026-09-01 — DAT week ending Aug 21 is a seasonal $0.04 dip, not a cycle break. Dry-van spot $2.21 (−1.6% WoW, +35.6% YoY); truck posts −28.4% YoY; ATA July tonnage −1%. Costello: capacity leaving, not demand coming back. Does not change Q3 RPM guide or the listed Oct 28 call. Do not re-rate off the dip. (From 2026-09-01-autoresearch-truckload-supply-tightening-not-demand.)
- Q2 FY2026 results: revenue $933.9M, +24% YoY (consensus ~$917.3M); adjusted EPS $0.22 vs $0.23 consensus; adjusted operating income +67% to $27.6M; operating margin 3.0% (+80bps). TTS revenue $703M (+36%); Logistics $212M (−4%) with an adjusted operating margin of −1.3%, a 400bp decline. Insurance and claims expense at its lowest since Q3 2020 ex-FirstFleet on a 45% decline in DOT-preventable accidents per million miles. FirstFleet: 98% renewal rate. Shares fell 5.19% in the session and a further 3.95% after hours. (Same source)
How to weigh it
An asset-based carrier benefits from truckload inflation, so its testimony on capacity tightness is interested in the same way Schneider's is. The two pieces of its Q2 that are not self-serving are the ones worth most: the logistics segment's −1.3% margin (a cost it is absorbing) and the fleet-guide-down / capex-up combination, which it was pushed to explain by an analyst rather than volunteering.
⚠ Standing caveat carried from the 2026-08-14 dispatch: Werner's CEO supplied the 250–400k driver-removal figure that driver-supply-removal-to-truckload-contract-rate-inflection explicitly discounts. Werner is simultaneously this project's cheapest expression of that chain and the source of its least-trusted number.
